General Terms

By accessing and placing an order with CanRIO, you confirm agreement with and are bound by the terms outlined below. These terms apply to the entire website and communications between you and CanRIO.

CanRIO shall not be liable for direct, indirect, special, incidental or consequential damages, including loss of data or profit, arising from use or inability to use materials on the site, even if advised of such possibility. CanRIO assumes no responsibility for outcomes during usage of resources and reserves rights to revise usage policies at any time.

License

CanRIO grants a revocable, non-exclusive, non-transferable, limited license to download, install and use the website strictly per this Agreement. These Terms constitute a contract between you and CanRIO, the website provider. You agree to be bound by these terms. Violation of Terms allows CanRIO to cancel or block your account without notice.

Changes To Terms & Conditions

CanRIO may stop providing the Service or features at its sole discretion without prior notice. You may stop using the Service anytime without informing CanRIO. If CanRIO disables your account access, you may be prevented from accessing account details or materials.

If Terms change, CanRIO will post changes and update the modification date below the heading.

Modifications to Website

CanRIO reserves the right to modify, suspend or discontinue the website or connected services temporarily or permanently, with or without notice and without liability.

Updates to Website

CanRIO may provide enhancements, improvements, patches, bug fixes, updates and upgrades. Updates may modify or delete features and functionalities. CanRIO has no obligation to provide Updates or continue enabling particular features. All Updates constitute integral parts of the website and are subject to this Agreement.

Third-Party Services

CanRIO may display or link to third-party content and services. CanRIO is not responsible for accuracy, completeness, timeliness, validity, copyright compliance, legality, decency or quality of Third-Party Services. CanRIO assumes no liability or responsibility for them. You access third-party services entirely at your own risk and under their terms and conditions.

Term and Termination

This Agreement remains in effect until terminated by you or CanRIO. CanRIO may suspend or terminate this Agreement at any time for any reason without prior notice. The Agreement terminates immediately if you fail to comply with any provision. You may terminate by deleting the website from your computer.

Upon termination, cease all website use and delete all copies. Termination does not limit CanRIO's legal or equitable rights regarding breaches.

Copyright Infringement Notice

Copyright owners or authorized agents believing material infringes copyright should contact CanRIO with: (a) physical or electronic signature of copyright owner or authorized agent; (b) identification of infringing material; (c) contact information including address, telephone and email; (d) statement of good faith belief that use is unauthorized; (e) statement under penalty of perjury that notification information is accurate and you are authorized to act on owner's behalf.

Indemnification

You agree to indemnify and hold CanRIO, its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors harmless from claims or demands, including reasonable attorneys' fees, arising from your: (a) website use; (b) Agreement violation or law/regulation violation; or (c) violation of third-party rights.

No Warranties

The website is provided "AS IS" and "AS AVAILABLE" with all faults and defects without any warranty. CanRIO expressly disclaims all warranties, whether express, implied, statutory or otherwise, including implied warranties of merchantability, fitness for particular purpose, title and non-infringement. CanRIO makes no representation that the website will meet your requirements, achieve intended results, be compatible with other software, operate without interruption, meet performance standards or be error-free.

CanRIO makes no representation that the website will be uninterrupted or error-free, that information is accurate or current, or that servers or content are free from viruses, scripts, trojan horses, worms, malware or harmful components.

Some jurisdictions do not allow exclusion of implied warranties or limitations on consumer statutory rights, so some exclusions may not apply.

Limitation of Liability

The entire liability of CanRIO under this Agreement is limited to the amount actually paid by you for the website. CanRIO and suppliers are not liable for special, incidental, indirect or consequential damages, including lost profits, data loss, business interruption, personal injury or privacy loss, even if advised of such possibility. Some jurisdictions do not allow such exclusions or limitations, so they may not apply.

Severability

If any provision is held unenforceable or invalid, it will be changed to accomplish its objectives to the greatest extent possible, and remaining provisions continue in full force and effect.

This Agreement, together with the Privacy Policy and legal notices, constitutes the entire agreement. If any provision is deemed invalid by competent jurisdiction, invalidity does not affect remaining provisions. No waiver of any term constitutes further waiver of that or other terms. CanRIO's failure to assert rights does not constitute waiver.

You and CanRIO agree that any cause of action must commence within one (1) year after accrual, or it is permanently barred.

Waiver

Failure to exercise rights or require performance does not affect ability to exercise such rights later or constitute waiver of subsequent breaches. No single or partial exercise precludes further exercise. In conflicts between this Agreement and other terms, this Agreement governs.

Amendments to Agreement

CanRIO reserves the right to modify or replace this Agreement at its sole discretion. Material revisions receive at least 30 days' notice before taking effect. Continued access or use after revisions constitutes agreement to revised terms. If you disagree, you are no longer authorized to use CanRIO.

Entire Agreement

This Agreement constitutes the entire agreement regarding website use and supersedes all prior and contemporaneous agreements. You may be subject to additional terms for other CanRIO services, provided at the time of use or purchase.

Intellectual Property

The website and its entire contents, features and functionality (information, software, text, displays, images, video, audio, design, selection and arrangement) are owned by CanRIO, licensors or providers and protected by Canada and international copyright, trademark, patent, trade secret and intellectual property laws. Material may not be copied, modified, reproduced, downloaded or distributed without express prior written permission, except as expressly provided in these Terms. Unauthorized use is prohibited.

Agreement to Arbitrate

This section applies to disputes except those involving claims for injunctive or equitable relief regarding intellectual property rights enforcement or validity. "Dispute" means any controversy between you and CanRIO concerning the Services or Agreement, whether in contract, warranty, tort, statute, regulation or any other legal or equitable basis, given the broadest possible meaning.

Notice of Dispute

In disputes, you or CanRIO must give Notice of Dispute—a written statement setting forth name, address, contact information, facts giving rise to the dispute, and relief requested. Send Notice via email to info@canrio.ca. CanRIO sends Notice by mail to your address, or otherwise to your email. You and CanRIO will attempt resolution through informal negotiation within sixty (60) days. After sixty (60) days, either party may commence arbitration.

Binding Arbitration

If informal negotiation fails, dispute resolution occurs exclusively through binding arbitration under American Arbitration Association commercial arbitration rules. Either party may seek interim or preliminary injunctive relief from competent court as necessary to protect rights or property pending arbitration completion. The prevailing party's legal, accounting and other costs are borne by the non-prevailing party.

Submissions and Privacy

Any ideas, creative suggestions, designs, photographs, information, advertisements, data or proposals you submit or post automatically become non-confidential and non-proprietary sole property of CanRIO without compensation or credit. CanRIO and affiliates assume no obligations regarding such submissions and may use contained ideas for any purposes in any medium perpetually, including developing, manufacturing and marketing products using such ideas.

Miscellaneous

If any provision is found unenforceable, remaining Terms continue in full force. Waivers are effective only if written and signed by CanRIO's authorized representative. CanRIO is entitled to injunctive or equitable relief without posting bond upon breach or anticipatory breach. CanRIO operates from Canada; the Service is not intended for distribution where contrary to law. Those accessing from other locations are solely responsible for compliance with applicable local laws. These Terms (including the Privacy Policy) contain the entire understanding and supersede all prior understandings and cannot be changed by you. Section headings are for convenience only and not given legal import.

Disclaimer

CanRIO is not responsible for any content, code or imprecision and does not provide warranties or guarantees. CanRIO is not liable for special, direct, indirect, consequential or incidental damages, whether in contract, negligence or tort, arising from Service use or its contents. CanRIO reserves the right to add, delete or modify Service contents anytime without notice.

The Service and its contents are provided "as is" and "as available" without warranty or representations. CanRIO is a distributor, not publisher, of third-party content; it exercises no editorial control and makes no warranty regarding accuracy, reliability or currency of information, content, service or merchandise. CanRIO specifically disclaims all warranties in content transmitted in connection with the Service or linked sites, including warranties of merchantability, fitness for particular purpose or non-infringement. No oral advice or written information creates warranty. Price and availability are subject to change without notice. CanRIO does not warrant the Service will be uninterrupted, uncorrupted, timely or error-free.
